The SPAC filed for an initial public offering, proposing 26 million shares at $10 each. The vehicle is led by financier Omeed Malik, CEO of 1789 Capital, where Donald Trump Jr. serves in an executive role. Directors include Laura Ingraham, Chamath Palihapitiya, Chris Buskirk, and Blake Masters. Roth Capital Partners is underwriting the deal with plans to list on the New York Stock Exchange.
